This Agreement is between:
This Agreement is formed when you complete registration. It is supplemented by the Terms of Service, which apply to all users and are incorporated by reference. Where this Agreement and the Terms of Service conflict, this Agreement prevails in respect of the commercial relationship between us.
EQI Caribbean operates a technology platform connecting consumers with licensed providers. We are not an insurer, broker, lender or financial intermediary. We do not bind coverage, issue policies, make credit decisions or handle any funds.
Subject to this Agreement, we grant you a non-exclusive, non-transferable right to access the platform to receive Requests and submit Indicative Responses.
You may authorise staff to access the platform under your account. You are responsible for everything they do and must ensure they comply with this Agreement and the Terms of Service.
Access is granted for the territory or territories selected at registration. Requests are routed to you only for territories in which you are active and hold the required regulatory approvals. Additional territories may be added by agreement, subject to the applicable fee.
You may export the Requests you have received, the Indicative Responses you have submitted and the acceptances recorded against your account, at any time, in the formats the platform provides. We will give reasonable notice before withdrawing any format.
The platform is a multi-provider marketplace. Subscription confers no exclusive right to any Request. Multiple providers may receive and respond to the same consumer Request.
At registration you declare the regulatory licence, registration or approval under which you operate, and you warrant that it is current and in good standing.
During the Trial Period we will verify that declaration with the relevant regulatory authority, being the Financial Services Commission for insurers and brokers, the Central Bank of Barbados for lenders, or the equivalent authority in the territory concerned. We may also verify your company registration and the authority of the person who registered the account. You agree to provide any reasonable information or documentation we request for this purpose, promptly.
If we are unable to verify your licence, or verification shows that it is expired, suspended, revoked or does not cover the activity or territory concerned, then:
We will tell you the reason and give you a reasonable opportunity to provide correcting information. If you do, and verification then succeeds, access is restored and the Trial Period resumes for the remainder of its original term.
You must maintain every required licence, registration and approval throughout the term of this Agreement, and must notify us promptly, and in any event within five business days, if any is suspended, revoked, allowed to lapse, or made subject to conditions affecting your ability to operate.
New Subscribers receive a Trial Period of 30 days from the Effective Date. No Subscription Fee is charged during it, and no invoice is issued.
We will notify you by email at the billing address on your account 7 days before your Trial Period ends, and again 1 day before. Each notice will tell you the date your Trial Period ends, the Subscription Fee that would apply, and how to continue.
To continue, you give Commitment through the platform. Commitment becomes available only once your licence verification under clause 4 has been completed successfully. You may give it at any time during the Trial Period, or during the 30 days described in clause 5.6.
Your first invoice is issued on your Commitment Date. It covers the period from your Commitment Date to the end of the following calendar month, so that you always receive a full month and are never charged for a part month. Payment is due within 14 days under clause 6.4. From the next calendar month onward you are invoiced on the ordinary monthly cycle under clause 6.3.
If you have not given Commitment by the end of your Trial Period, your account is suspended automatically. Access to Requests ceases. No Subscription Fee is payable and no invoice is issued.
You may give Commitment at any point during the 30 days following suspension. Doing so restores your access immediately, and clause 5.4 applies from that date.
If you have not given Commitment within 30 days of suspension, this Agreement terminates automatically and your account is closed. We will confirm this by email. Your data is then handled in accordance with our Privacy Policy.
The Trial Period is available once. A Subscriber whose Agreement has terminated under clause 5.7, and who later registers again, does not receive a further Trial Period, unless we expressly grant one in writing.
You may terminate at any time during the Trial Period, without charge, by written notice to support@eqicaribbean.com.
The Subscription Fee is a single flat amount, the same for insurers, brokers, and lenders alike. Fees outside Barbados are the Barbados amount converted at the pegged rate of two Barbados dollars to one United States dollar.

A Subscriber holding subscriptions in more than one territory through a common parent organisation may be granted a group discount, as agreed in writing.
VAT at the applicable Barbados rate will be added to fees charged to Barbados-registered Subscribers once EQI Caribbean is registered for VAT with the Barbados Revenue Authority. We will give reasonable notice before VAT is first applied.
Your first invoice is issued on your Commitment Date under clause 5.4. Every invoice after that is generated on the first day of each calendar month, covers the month ahead, and is sent to the billing email address on your account. Keeping that address current is your responsibility.
Payment is due within 14 days of the invoice date. Payment details appear on each invoice. You are responsible for any bank or transfer charges.

A suspended account continues to accrue monthly invoices. Suspension is not termination. Access is restored when all outstanding amounts are paid. We may cancel or write off an invoice at our discretion but are not obliged to.
We may revise the Subscription Fee on at least 30 days written notice. Continuing to use the platform after the effective date of a change constitutes acceptance of the revised fee.
Every Indicative Response must be made in good faith, based on a genuine assessment of the information provided and a genuine willingness to proceed on those terms, subject to formal underwriting or assessment. Responses must not be submitted speculatively, or as a means of obtaining consumer data without genuine intent.
Every Indicative Response must remain valid for acceptance for at least 14 days from the date the consumer submitted the Request. You may offer a longer validity period, but never a shorter one. A Response whose stated validity is shorter than this minimum is rejected at submission.
You acknowledge that Consumer Data received through the platform:
You act as an independent data controller in respect of Consumer Data you receive. EQI Caribbean is not responsible for your data handling once a Request has been delivered to you. You must notify us within 72 hours of becoming aware of any breach affecting Consumer Data obtained through the platform.
Where you, as a broker, submit a Request on behalf of a client who approached you directly rather than through the platform, you warrant that you hold that client's informed permission to do so and that you have told the client how their information will be used. That warranty is recorded against your account. You remain the controller of your own client relationship and are solely responsible for the lawfulness of that permission.
We do not rank, weight or promote any response over another. You must not attempt to influence the display or sequencing of responses by any technical or other means.
You must keep your company profile accurate and current, including company name, contact details, regulatory status, licence expiry and territories of operation.
All platform software, design, systems and documentation remain the exclusive property of Project 3 Consultants and Logistics Inc. and its licensors. This Agreement transfers no intellectual property rights to you.
You retain ownership of your proprietary pricing models, underwriting criteria and business information. By submitting an Indicative Response you grant us a limited licence to display it to the relevant consumer on the platform.
Each party will keep confidential any non-public information received from the other in connection with this Agreement and use it only to perform its obligations. This does not apply to information that is or becomes public other than through breach of this clause, was already known to the receiving party, or must be disclosed by law or by a regulator.
Consumer Data is not our confidential information for the purposes of this clause. It is governed by clause 7.2.
EQI Caribbean is a technology platform. We do not warrant the accuracy or completeness of consumer-submitted information, and we are not responsible for any underwriting, lending or other decision you make on the basis of it.
To the fullest extent permitted by law, our total liability to you under this Agreement shall not exceed the total Subscription Fees you paid in the three months before the claim. We are not liable for indirect, consequential or special loss, including loss of business, loss of revenue or reputational damage. Nothing in this clause limits liability for fraud, or for death or personal injury caused by our negligence.
You may terminate on 30 days written notice to support@eqicaribbean.com. Fees already invoiced for the current Subscription Period remain payable and are not refunded. Termination during the Trial Period is free of charge under clause 5.
This Agreement terminates automatically under clause 5.7 where Commitment has not been given within 30 days of suspension. No fee is payable.
We may suspend or terminate your account immediately, without notice, if:
On termination your access ceases immediately and all outstanding invoices become immediately due. Clauses 7.2 (Consumer Data), 9 (Confidentiality) and 10 (Liability) survive termination.
We may update this Agreement from time to time and will give at least 30 days written notice of material changes by email to your registered billing address. Continuing to use the platform after the effective date constitutes acceptance. The current version is always available at my.eqicaribbean.com/subscriber-agreement/.
Entire agreement. This Agreement and the Terms of Service constitute the entire agreement between us regarding your use of the platform and supersede all prior representations.
Governing law. This Agreement is governed by the laws of Barbados. Any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the courts of Barbados.
Waiver. A failure to exercise any right does not waive it.
Severability. If any provision is unenforceable it will be modified to the minimum extent needed to make it enforceable, and the remainder continues in full force.
Assignment. You may not assign or transfer any right under this Agreement without our prior written consent. We may assign to a successor entity on reasonable notice.
